Head of Company Secretary & Governance – APRA Regulated

Exceptional opportunity for a Senior Company Secretary to join this leading Insurance, Financial Services and Technology organisation which has been enjoying significant growth through major acquisitions. As leaders in a niche space of insurance and technology solutions, this organisation is further refining this important function in order to ensure quality services.

The Head of Company Secretary & Governance reports into the General Counsel and is responsible for leading and running the Company Secretary & Governance function, including acting as the appointed Company Secretary for the main Board.

The role will be responsible for managing and mentoring a team of three people, including an Assistant Company Secretary and two Board Administrators.

Responsibilities:

  • Leading and managing the Company Secretariat & Governance team to a high standard
  • Acting as the appointed Company Secretary of the Group’s Boards and Committees
  • Develop and implement policies, procedures and processes to ensure the proper discharge of duties and responsibilities of the company secretarial team
  • Ensuring agendas, papers, minutes and other secretariat activities are undertaken to a high standard and delivered in a timely and efficient manner and in line with legal and organisational requirements
  • Building and maintaining relationships with Directors, C Suite Executives and the Group
  • Leading the running of the Director Elections and Annual General Meeting
  • Board record keeping, execution of corporate documents, maintenance of company registers, and lodgement of regulatory documents to ensure compliance with ASIC and APRA requirements

Requirements:

  • Minimum 5 years experience in the delivery of company secretarial and governance duties
  • Experience in team management and/or mentoring
  • Knowledge of ASIC, APRA, ACNC and other regulatory and legal requirements an advantage
  • Experience with attending Board and Board Committee meetings and preparation of high quality minutes
  • Qualifications from the Governance Institute of Australia
  • Outstanding written and verbal communication skills.
