Legal Counsel mfd

We\’re looking for a proactive and business-minded Legal Counsel to support our clients\‘ legal operations in Europe. You\’ll work closely with senior management and cross-functional teams in this role.

As the sole counsel, you will advise on M&A, corporate governance, and regulatory compliance. This position offers an opportunity to work on high-impact projects.

Tasks

• Operational Legal Support: Provide day-to-day legal guidance on labor law, medical law, patient rights, and regulatory matters related to statutory and private health insurance.
• Cross-Functional Collaboration: Work closely with M&A, finance, HR, and operations teams to ensure seamless legal support across the business.
• External Counsel Management: Engage and coordinate with international and local law firms, ensuring high-quality, cost-effective legal services.
• M&A Transactions: Support M&A activities including due diligence, contract negotiations, and post-merger integration.
• Corporate Governance & Compliance: Oversee corporate law matters, draft governance documents, and support risk management and compliance initiatives.
• Strategic Legal Advisory: Assess legal risks, provide pragmatic solutions, and ensure compliance with relevant regulations.
• Stakeholder Communication: Translate complex legal concepts into clear, actionable advice for management and non-legal teams.

Requirements

• 3-5 years of legal experience, ideally within a corporate legal team or law firm.
• Strong background in M&A transactions including due diligence, contract negotiation, and post-transaction integration.
• Ability to assess legal risks and provide clear strategic advice.
• Strong communication skills with the ability to explain complex legal concepts to non-legal stakeholders.
• A proactive, business-focused mindset capable of balancing legal risks with commercial objectives in a fast-paced, private equity-backed environment.
• Fluency in German and English (written and spoken).
