To drive this continuous global expansion, the Executive Board is seeking to appoint a Senior M&A Manager to the central Corporate Development team, based in either the Basel or Zurich headquarters. This is a highly visible, cross-border transaction mandate. The successful candidate will independently lead complex acquisitions, divestitures, and equity-level alliances across the Americas, EMEA, and APAC, acting as a principal dealmaker alongside the C-suite and regional executive leadership.
Key Responsibilities
Global Deal Execution:
Act as the lead execution engine for high-profile, cross-border M&A transactions and strategic alliances, managing the entire deal lifecycle from preliminary origination and structuring through to definitive documentation and closing.
Complex Valuation & Synergy Modeling:
Architect and oversee intricate financial models tailored to concession economics, master franchise agreements, and infrastructure-linked retail models. Execute advanced DCF valuations, sum-of-the-parts analyses, LBO/debt capacity models, and highly granular synergy quantification (cost and revenue).
Diligence & Risk Mitigation:
Spearhead comprehensive, multi-jurisdictional due diligence processes. Coordinate and challenge top-tier external advisors (investment banks, Big 4 FDD/TDD, elite legal counsel) to identify structural risks, hidden liabilities, and integration bottlenecks across diverse regulatory environments.
Transaction Structuring & Negotiation:
Drive the commercial negotiation of complex transaction collateral, including Share Purchase Agreements (SPAs), Joint Venture Agreements, and Shareholders' Agreements (SHAs), expertly navigating the nuances of public-private partnerships and long-term concession bidding frameworks.
Executive Board Advisory:
Synthesize complex, multi-variable transaction data into sharp, institutional-grade investment memorandums. Present and defend acquisition theses, risk-adjusted returns, and capital allocation strategies directly to the Global Executive Committee and Board of Directors.
Post-Merger Integration (PMI) Strategy:
Partner closely with regional CEOs, CFOs, and operational integration management offices (IMO) to underwrite and track Day-1 readiness plans, ensuring the seamless realization of modeled synergies across newly acquired platforms.
Candidate Profile
Experience:
6 to 9 years of rigorous, transaction-heavy M&A experience originating from a top-tier Investment Bank (Bulge Bracket or Elite Boutique), the active Corporate Development/M&A team of a large multinational corporate, or a premier Private Equity fund.
Sector Acumen:
While a generalist M&A background is acceptable, demonstrable transaction exposure to Consumer Markets, Specialty Retail, Infrastructure, or complex Real Estate/Concession models is a distinct asset.
Technical Elite:
Exceptional analytical processing capabilities and an elite corporate valuation toolkit. Must possess the absolute autonomy to build, deconstruct, and defend highly complex financial models under intense scrutiny.
Executive Gravitas & Autonomy:
A mature, highly commercial operator capable of driving multiple global deal workstreams simultaneously. Must possess the gravitas required to challenge internal stakeholders and negotiate credibly with sophisticated counterparties and target founders.
