Legal & Structuring Manager – Private Markets (100%)
Location: Geneva
Our client is a leading private markets investment firm serving a sophisticated global client base of asset owners. Through a diversified platform covering private equity, private credit and real assets, the firm designs and manages bespoke investment solutions across international markets.
Mission and Contribution Reporting directly to senior management, the candidate will play a pivotal role in the design, execution and governance of private markets investment structures. Acting as a strategic business partner, the candidate will work closely with Investment, Operations and external legal advisers across multiple jurisdictions. The role combines strategic legal leadership with hands‑on execution and requires deep expertise in international fund structuring and private markets transactions.
Responsibilities
Lead the legal structuring of private markets investment vehicles across multiple jurisdictions.
Design and implement efficient investment structures tailored to institutional investors' requirements.
Advise on the establishment of funds, managed accounts, co‑investment vehicles and bespoke investment solutions.
Manage the legal execution of complex private markets transactions, including private equity, private credit and real assets investments.
Coordinate with external counsel across various jurisdictions and oversee the delivery of legal documentation.
Review, negotiate and draft fund documentation, investment agreements, subscription documents and commercial contracts.
Partner closely with Operations, Investments and Risk teams to ensure robust governance and regulatory compliance.
Provide legal guidance throughout the lifecycle of investment vehicles, from inception to liquidation.
Monitor legal and regulatory developments impacting private markets activities.
Support fundraising initiatives by advising on legal aspects of institutional mandates and investor negotiations.
Qualifications
Minimum 8 years of relevant experience gained within leading firms (law firms, private markets investment managers, asset manager or alternative investment platform).
Strong expertise in private markets fund formation and international investment structuring.
Proven experience advising institutional investors, asset managers or alternative investment funds.
Excellent knowledge of cross‑border legal frameworks applicable to private markets investments.
Strong commercial mindset with the ability to balance legal risk and business objectives.
Experience working across multiple jurisdictions and coordinating external legal advisers.
Excellent stakeholder management and communication skills.
Entrepreneurial, pragmatic and solution‑oriented approach.
Fluency in English is essential; French is an advantage.
