M&A Associate (m/f/d) | Tech M&A Advisory | Berlin | Exclusive Search

Exclusive search on behalf of a client | 2 positions | Berlin | Start: as soon as possible

Our client

A partner-owned, partner-led M&A advisory firm with a strong technology focus and an international platform across Europe and North America. The firm advises founders, owner-managed businesses, corporates and financial investors on sell-side and buy-side M&A, alongside debt advisory and growth equity.

The opportunity

Our client is adding two M&A Associates to its Berlin office. Berlin works as an integrated part of the wider platform, and Associates are regularly staffed across offices, giving exposure to cross-border processes and a broad range of sectors.

The Associate is the operational lead on a transaction: running the process day to day, owning the model and the marketing materials, and acting as the first point of contact for clients and counterparties, working closely with Partners and Directors.

What you’ll do

  • Take ownership of defined phases of sell-side and buy-side processes, from preparation through due diligence and bid management to signing

  • Lead the preparation of teasers, information memoranda, management presentations and process letters

  • Build and take responsibility for financial models and valuations (DCF, trading and transaction comparables)

  • Develop buyer and investor universes across strategic and financial investors

  • Coordinate due diligence workstreams, including data room, Q&A and interaction with legal, financial and tax advisers

  • Act as the day-to-day contact for clients, investors and their advisers on your workstreams

  • Review and develop the work of Analysts and interns

  • Support Partners on pitches and origination

What you’ll need

  • Around 3 to 4 years of sell-side M&A experience: Associate 2 or 3, or a strong Associate 1 with just under three years

  • A background at an investment bank, an M&A boutique or a Big Four M&A / lead advisory team

  • Execution experience on completed transactions and the ability to run a workstream with limited supervision

  • Exposure to technology, software or industrial tech is an advantage; generalists are welcome

  • Strong valuation and modelling skills, advanced Excel and PowerPoint

  • A degree in finance, economics, business or a related quantitative field

  • German at C1 level or above, and business-fluent English

What’s on offer

  • Real deal responsibility and close day-to-day work with Partners

  • International deal flow with regular cross-office staffing

  • Training, individual development and international career prospects
