We are a compliance-first fintech operating toward MiCA, FINMA, and SEC-aware standards from day one. We’re seeking a Head of Legal & Compliance to design and own CRYLO’s global legal, regulatory, and compliance framework. You will be the principal advisor to the CEO and Board on licensing strategy, regulatory engagement, product counseling, and risk management across multiple jurisdictions. This is a founding leadership role with outsized impact on our go-to-market. 1. Regulatory Strategy & Licensing
Define and execute a market entry & licensing roadmap (e.g., MiCA VASP/crypto-asset service provider in the EU, FINMA considerations in CH, SEC/CFTC/MSB in the US, MAS in SG, and other priority jurisdictions). Lead regulatory gap analyses, policy design, and implementation; manage interactions with regulators and SROs. 2. Compliance Program & Controls
Build a proportionate, risk-based compliance program: AML/CFT (incl. Travel Rule), sanctions, KYC/KYB, market abuse monitoring, surveillance, and recordkeeping. Oversee third-party due diligence (custodians, on/off-ramps, exchanges, DeFi integrations) and vendor risk management. Establish incident response, complaint handling, and whistleblowing channels. 3. Product & Marketing Counseling
Advise on product design (custody model, disclosures, suitability/appropriateness, risk labeling, terms of service). Review marketing and communications for fair, balanced, and non-misleading claims; approve DISCLAIMERS and risk warnings. 4. Data, Security & Governance
Ensure compliance with GDPR/Swiss FADP and privacy-by-design; coordinate with Security on access control, audit trails, and data retention. Draft and maintain core policies: Code of Conduct, Conflicts of Interest, Inside Information/Market Integrity, DAOs/token governance, complaints & redress. 5. Contracts & Corporate
Negotiate and manage key commercial agreements (custody, liquidity, data providers, audits). Support corporate structure, token documentation (utility vs. security analysis), and cap table actions with external counsel. 6. Board & Audit Readiness
Prepare Board reporting, risk dashboards, and regulator-ready documentation. Coordinate independent audits (financial, IT/security, smart contract) and remediation plans. Your Qualifications
7–12+ years’ experience in financial services/fintech/crypto legal & compliance, including time in a regulated entity or reputable law firm. Hands-on expertise in one or more: MiCA (EU), FINMA/Swiss law, SEC/CFTC/FinCEN (US), MAS (SG), or similar VASP regimes. Proven track record building or scaling AML/KYC programs and licensing applications; strong regulator liaison skills. Ability to translate complex regulation into clear product and process requirements. High integrity, ownership mindset, and comfort operating in an early-stage environment. Experience with non-custodial vs. custodial models, staking/DeFi integrations, Travel Rule solutions is a plus. Knowledge of token classifications, utility vs. security analyses, and disclosure best practices would be great. Exposure to AI governance (model risk, explainability, bias, auditability) in financial contexts would be an advantage. Proficiency in English; additional languages a plus.
