Legal Counsel, M&A, International Consumer Goods Group in Geneva

Duration: Approx. 6 months, with the possibility of extensionUtilization: 80 to 100%We are seeking a Legal Counsel, MA, for an international consumer goods group in Geneva, Switzerland. The group is managing multiple transactions and the integration of recently acquired businesses. The role involves supporting the General Counsel throughout the full transaction lifecycle, from due diligence and deal structuring to negotiations and post-acquisition integration. The ideal candidate is a hands-on MA lawyer who can manage cross-border transactions independently and work closely with senior management. Fluency in English is essential.KEY RESPONSIBILITIESSupport the General Counsel on ongoing and upcoming mergers and acquisitionsRun legal due diligence and coordinate external counsel on due diligence and transaction documentationContribute to strategy analysis with the executive team and advise on the legal side of deal strategyCoordinate internal stakeholders and advise on legal issues arising out of transactionsDraft, review and negotiate transaction documents, including SPAs, APAs, term sheets and NDAsSupport integration work: transfer contracts to the new entity, carve out entities, and handle HR and restructuring mattersManage budgets and timelines across several deals running in parallelYOUR PROFILE5+ years of post-qualification MA experience at a leading law firm and/or a multinational groupTrack record on cross-border acquisitions and divestments, ideally including asset and carve-out dealsHands-on experience with due diligence, transaction documents and post-merger integrationExperience in consumer goods or another heavily regulated industry is an assetStructured and independent, at ease with executive stakeholders and several deals at onceFluency in English is required; French is an assetUSING AI IN YOUR APPLICATIONWe use AI in our work, and many of the legal teams we support do too.
