Overview
In this role you will support the structuring, issuance, and distribution of financial instruments with a focus on structured products for a Swiss financial institution. You will work with cross-functional teams to ensure regulatory compliance and sound legal design of product platforms and SPV arrangements. You will draft and negotiate key transaction documents and monitor evolving laws that impact capital markets. Verantwortungsbereiche
- Provide legal support on structuring, issuance, and distribution of financial instruments with emphasis on structured products and related capital markets transactions
- Advise on legal design and documentation of structured product platforms and SPV arrangements, ensuring Swiss and international compliance
- Draft, review, and negotiate transaction documents including product term sheets, distribution agreements, dealer arrangements, and related contracts
- Collaborate with trading, structuring, compliance, risk, and tax teams to identify and manage legal risks in structured products and financial engineering
- Support development and approval of new product initiatives, advising on legal feasibility and regulatory obligations throughout the lifecycle
- Monitor regulatory developments affecting structured products and financial markets and implement changes to practices or documentation
- Provide legal guidance on broader capital markets, financial services, regulatory matters including supervisory law, outsourcing, corporate governance, and commercial contracts as needed
- Participate in group-wide legal projects and respond to regulatory inquiries related to financial products and transactions
Zentrale Anforderungen
- Swiss-qualified lawyer (admitted to the Swiss Bar)
- Fluency in German and English (written and spoken)
- 4–6 years of post-qualification legal experience, ideally in a financial institution or top-tier law firm
- Proven expertise in structured products, capital markets transactions, and financial regulatory matters
- Excellent drafting and negotiation skills with a pragmatic, solution-oriented mindset
- Ability to manage complex legal issues independently and work in a cross-functional environment
