Legal Assistant General Counsel – The Office of the Secretary – Vice President (all genders)
The OTS is a practice group within the Legal Department, operating through a corporate team and regional hubs in New York, London (for EMEA), and Hong Kong (for Asia Pacific). You will be part of the German Office of the Secretary team, responsible for providing governance advice and company secretarial support to the members of J.P. Morgan SE Management and Supervisory Board.
As a Vice President in the German Office of the Secretary team, you will promote effective governance of J.P. Morgan SE and its branches, advising, supporting, and training directors and senior management on corporate governance matters, including relevant laws, regulations, governance practices, and legal entity management. Strong analytical, collaborative, and independent working skills are essential, along with excellent written and verbal communication skills.
Job responsibilities
- Act as a trusted advisor to the Management and Supervisory Board to support governance enhancements and share best practices.
- Collaborate with Board Chairs to set agendas, facilitate board meetings, and follow up on actions with businesses and management.
- Communicate effectively with directors, external stakeholders (e.g., auditors), and senior management on governance matters.
- Monitor legislative, governance, and regulatory developments; implement changes as needed.
- Lead governance standards in line with regulatory requirements and internal policies, providing advice and guidance.
- Prepare written resolutions, draft minutes, and actionable items for review and approval by board and committee members and shareholders.
- Maintain corporate records and internal databases, both electronic and hard copies.
- Provide corporate secretarial services, governance, and regulatory support to JPM\’s businesses, subsidiaries, and affiliates in Germany, coordinating with EMEA and global teams.
Required qualifications, capabilities, and skills
- Qualified German lawyer with a strong interest in corporate governance issues.
- Significant relevant experience.
- Awareness of corporate governance matters affected by changing laws and regulations in financial services.
- Experience with regulatory reporting/filings and regulator interactions.
- Collaborative, proactive team player.
- Meticulous, organized, and pride in work.
- Ability to work under tight deadlines in a fast-paced environment.
- Strong interpersonal, presentation, and communication skills.
- Ability to build relationships with multiple stakeholders.
- Experience coordinating with external counsel and notaries as needed.
- Fluent in written and spoken German and English.
