pNew Ventures Group AG is a Zurich-based venture capital company focused on early-stage /ppinvestments at pre-seed and seed level. We support innovative businesses with capital and /ppstrategic, financial and operational expertise. /ph3Your responsibilities /h3 ul liCapital markets and financing structures: Design, structure and implement bonds, other /li lifinancing instruments and investment structures from a legal perspective; prepare and review /li lithe related issuance, contractual and investor documentation. /li liExecutive leadership: Lead the strategic and operational development of New Ventures /li liInstruments AG, including business development, partnerships, processes and financial /li liperformance. /li liRegulation and compliance: Assess the requirements relevant to products and business /li limodels, and coordinate with external specialists, banks and other partners. /li liCorporate law and transactions: Advise on ownership structures, financing rounds and /li licorporate governance; draft, review and negotiate agreements in German and English. /li liEmployment law: Provide supplementary advice on employment contracts, remuneration and /li liequity participation schemes, executive and board agreements, and terminations; coordinate /li liexternal counsel on disputes and proceedings. /li liCommercial advice: Work closely with management, the investment team and portfolio /li licompanies to develop legally sound and commercially viable solutions. /li liYour profile /li liA law degree; admission to the Swiss bar or an equivalent qualification is an advantage. /li liStrong knowledge and practical experience in capital markets and financial regulatory law, /li lisupported by sound corporate and contract law expertise. /li liExperience with securities issuances, financing instruments, investment structures or /li licomparable transactions. /li liSound knowledge of Swiss employment law and the ability to handle ongoing employment /li limatters pragmatically. /li liAn entrepreneurial mindset, commercial judgement and a willingness to take operational /li liresponsibility and accountability for results. /li liLeadership experience or a demonstrated ability to build and lead a business. /li liAn independent, structured and pragmatic approach with a strong focus on execution; /li liexcellent written and spoken German and English. /li /ul h3What we offer /h3 ul liA combined legal and executive leadership role at 50-70% of a full-time position. /li liEquity participation in New Ventures Instruments AG under an individually agreed ownership /li liarrangement. /li liSubstantial scope to shape the company and develop its financing offering. /li liDirect collaboration with group leadership, short decision-making processes and exposure to /li liventure capital investments, capital markets transactions and growth projects. /li liHybrid working in Zurich Paradeplatz and a long-term working relationship. /li /ul #J-18808-Ljbffr
