Overview
In this role you will support the Board of Directors and Executive Management on corporate governance matters within BPAG’s European and German legal team. You will help maintain regulations, minutes, and governance records while ensuring compliance with applicable laws and internal policies. You will coordinate with Legal, Compliance, Risk and Finance, and prepare reports for governing bodies and supervisory authorities. This is a cross-border, senior-facing position that shapes how governance processes scale in a major European private-bank environment. Verantwortungsbereiche
- Support the Board of Directors and Executive Management in corporate governance matters
- Prepare, organize and take minutes for Board, committee and Executive Management meetings
- Draft and maintain regulations, articles of association, organisational and signing rules
- Ensure compliance with legal, regulatory and internal governance requirements
- Coordinate with internal stakeholders (Legal, Compliance, Risk, Finance) and external advisors
- Manage corporate records (commercial register filings, powers of attorney, signing authorities)
- Prepare reports and presentations for governing bodies and supervisory authorities
Zentrale Anforderungen
- Several years of professional experience as a Corporate Secretary or in a comparable role in the financial/banking sector
- Sound knowledge of corporate, banking and regulatory law (e.g. BaFin/Bundesbank/ECB environment)
- Highly structured, diligent and discreet working style, with a strong service orientation
- Strong communication skills and confident interaction at senior management and board level
- Excellent written and spoken German and English; additional languages are an advantage
- University degree in Law, Business Administration or a comparable qualification; further education in Corporate Governance is an asset
