Legal Counsel & Corporate Secretary (m/f/d)

Your mission

In this combined role, you are a key legal partner to our sales, procurement and product teams on commercial deals and EU digital regulation, and at the same time the single owner of corporate records, entity compliance and governance administration for our group of 15–20 legal entities across Europe and the US. You work independently and hands-on, with support from external specialists where needed, and act as a primary liaison with shareholders, notaries and external advisors. Your work spans:

• You review and draft customer, supplier and vendor agreements based on our templates and guidelines, lead negotiations on legal terms, and coordinate signatures, legal repositories and trademark matters with external counsel.
• You provide day-to-day legal guidance to our sales team throughout customer deals, including NDAs, third‑party codes of conduct and compliance checks on new customers in our CRM.
• You work closely with our external Data Protection Officer on DPAs, customer inquiries, our privacy policy and sub‑processor list, and monitor EU digital and data law (in particular CRA and NIS2) to assess the impact on our products and contracts.
• You maintain audit‑ready statutory records across all entities, own the group compliance calendar (annual accounts, commercial and UBO registers and local equivalents) and keep entity charts and ownership structures current.
• You drive entity simplification (closures, liquidations, mergers and cross‑border reorganisations) with external advisors, and design standardised inter‑company agreements with templates, approval flow and a central repository.
• You prepare resolutions, notices and meeting materials for shareholders and board, maintain Managing Director authorities and our group authorisation matrix, and provide corporate documentation for credit facilities, bank mandates and debt financing workstreams.

Your profile

• You hold a master's degree in law and have several years of experience as an in‑house or commercial lawyer, ideally combined with corporate secretarial or governance work in a multi‑entity group; SaaS or technology experience is a plus.
• You have solid knowledge of European IT and contract law, practical GDPR experience and familiarity with EU digital regulation such as the CRA or NIS2.
• You bring experience with entity restructuring or closures across jurisdictions and a good understanding of inter‑company arrangements.
• You have strong drafting and negotiation skills and a pragmatic, business‑oriented approach.
• You work accurately and independently, and handle confidential shareholder, financing and board material with absolute discretion.
• You speak fluent English, are comfortable with MS Office (experience with PandaDoc, Microsoft Dynamics, Jira or SharePoint is a plus) and enjoy a constantly evolving environment where you naturally look for ways to improve documents and processes.
