Experienced Board Member with Strong Swiss Corporate Law Background (FR/EN)
For a confidential mandate, Startup Board Academy is seeking a seasoned Board Member with extensive experience in Swiss corporate law and a strong track record serving on the boards of startups, scale-ups and SMEs.
We are looking for someone who combines deep legal knowledge with many years of hands-on boardroom experience , sound judgement and a highly pragmatic approach.
The ideal profile:
- Extensive knowledge of Swiss corporate law , ideally with a background as a qualified Swiss lawyer.
- Many years of proven experience serving on boards of directors, including startups, scale-ups and SMEs.
- First-hand experience navigating the challenges of growing companies, from financing rounds and shareholder dynamics to governance issues, financial difficulties and crisis situations.
- Thorough understanding of directors' duties, responsibilities and liability under Swiss law, including the practical application of legal requirements in the boardroom.
- A pragmatic, solution-oriented mindset, able to translate legal complexity into practical decisions and actionable advice.
- Outstanding communication and presentation skills, with the ability to engage experienced professionals, facilitate discussions and make complex topics accessible.
- Full professional proficiency in French and English, with the ability to present and lead discussions confidently in both languages.
We particularly value professionals who have experienced challenging boardroom situations and can bring substantial practical experience rather than theory alone.
MUST HAVE :
- Must be based in Switzerland, with the flexibility to travel to different locations across the country approximately 3–4 times per year.
- Must have completed formal training in corporate governance and demonstrate extensive, hands-on experience serving on Swiss boards of directors, particularly in startups, scale-ups and SMEs.
