Job Description:

We are seeking a Senior Legal Counsel to join the M&A Legal Team at Delivery Hero. In this role, you will support key initiatives by providing proactive legal guidance that aligns with business goals and regulatory standards, helping mitigate risks and ensure long-term success.

This position offers the opportunity to work on acquisitions, joint ventures, mergers, and more, impacting the company\’s strategic growth. You will manage all phases of M&A projects, from structuring deals to post-closing activities, collaborating with stakeholders worldwide.

Your work will be crucial in expanding Delivery Hero’s global footprint and ensuring legally sound processes aligned with strategic objectives. This role provides growth opportunities in a dynamic, international environment.

Key Responsibilities:

1. Lead legal workstreams on M&A transactions, including drafting and advising on agreements.
2. Oversee all legal phases of M&A deals—NDA, structuring, due diligence, negotiation, documentation, signing, closing, and post-closing.
3. Coordinate with internal teams and external counsel across jurisdictions.
4. Partner with Strategy/M&A, Tax, Antitrust, and Finance teams for legal insights in decision-making.
5. Provide practical, business-oriented legal guidance on complex issues.
6. Improve legal processes, templates, and tools for scalable deal execution.

Qualifications:

What you need to be successful:

• Fully qualified lawyer with an excellent academic background and admission to the bar (Germany: 2nd state exam; UK qualifications are a plus).
• 7-8 years of M&A experience, preferably in an international law firm.
• Strong analytical skills and pragmatic legal problem-solving abilities.
• Proficiency in English (spoken and written); additional languages are a plus.
• Ability to work collaboratively in a diverse and dynamic environment.
• Excellent project management and stakeholder coordination skills.
