You will provide practical and commercially focused legal guidance, helping shape key decisions and supporting the continued growth and transformation of our business in Switzerland. /ph3Key Responsibilities /h3h3Corporate Governance Company Law /h3ulliManage corporate secretarial activities for Swiss legal entities. /liliEnsure compliance with statutory and corporate governance requirements. /liliCoordinate Board and Shareholder resolutions. /liliManage powers of attorney and signature authorities. /liliLiaise with external legal advisors, authorities, and notaries. /li /ulh3Commercial Contracts /h3ulliDraft, review, negotiate, and manage a broad range of commercial agreements. /liliSupport business functions on contractual negotiations and legal matters. /liliDevelop and maintain contract templates and legal standards. /liliIdentify and mitigate contractual risks. /liliEnsure contractual arrangements align with business objectives and Swiss legal requirements. /li /ulh3Real Estate, Construction Maintenance /h3ulliNegotiate and manage lease agreements, amendments, renewals, and termination agreements. /liliSupport store openings, relocations, refurbishments, and expansion projects. /liliReview and negotiate construction, architectural, engineering, maintenance, and consultancy agreements. /liliAdvise on liabilities, guarantees, disputes, delays, and contractual claims. /liliManage legal aspects of relationships with landlords, contractors, and suppliers. /li /ulh3IT, Digital Technology /h3ulliReview and negotiate IT, SaaS, Cloud, software licensing, and technology services agreements. /liliSupport digital transformation and business technology projects. /liliAdvise on intellectual property, confidentiality, cybersecurity-related contractual provisions, and liability matters. /liliSupport technology-driven initiatives from a legal risk management perspective. /li /ulh3Data Privacy Support /h3ulliProvide legal guidance on data protection matters impacting contracts and commercial activities. /liliReview contractual clauses relating to personal data processing and confidentiality. /liliSupport privacy-related projects in collaboration with Compliance and Data Protection teams. /liliContribute to privacy risk assessments from a legal perspective. /li /ulh3Regulatory Affairs /h3ulliAdvise management on the Swiss legal and regulatory framework applicable to the optical retail industry. /liliMonitor legal and regulatory developments. /liliSupport business leaders in assessing regulatory impacts and implementing required changes. /liliCollaborate with Regulatory Affairs teams on legal interpretations and assessments. /li /ulh3Consumer Protection Marketing /h3ulliAdvise on Swiss consumer protection legislation. /liliReview marketing, promotional, and customer-facing communications. /liliSupport Customer Service teams on complex customer complaints. /liliReview and negotiate local marketing and partnership agreements. /liliEnsure legal compliance of commercial initiatives and campaigns. /li /ulh3Business Development Strategic Projects /h3ulliSupport the launch of new products, services, and business models. /liliAssess the legal feasibility of innovative commercial initiatives. /liliDevelop and negotiate supporting contractual frameworks. /liliAdvise on strategic partnerships and growth opportunities. /li /ulh3Litigation Dispute Resolution /h3ulliManage and coordinate litigation, pre-litigation matters, and dispute resolution processes. /liliSupervise external legal counsel. /liliDefine legal strategies in collaboration with business leaders. /liliMonitor legal risks and associated provisions. /liliEnsure efficient resolution of disputes and claims. /li /ulh3What We're Looking For /h3ulliMaster's Degree in Swiss Law. /liliSwiss Bar Admission strongly preferred. /lili8-12 years of legal experience gained within a law firm and/or in-house legal department. /liliStrong expertise in Swiss commercial and corporate law. /liliSignificant experience in contract drafting, negotiation, and legal risk management. /liliSolid knowledge of real estate and construction-related legal matters. /liliExperience within Retail, Consumer Goods, Healthcare, or other multi-site organizations is a strong advantage. /liliExperience working in an international and matrix organization. /liliDemonstrated experience in Data Privacy and Data Protection (nFADP/GDPR) is highly appreciated. /liliFluent English and French are required. /liliGerman is a strong
