Legal Counsel - M&A in München

Our client, a fast-growing international technology business, is looking for a Legal Counsel to strengthen its in-house team on corporate and transactional matters. Working closely with senior management, you will connect Legal, Finance and Corporate Development and help build the legal framework for the company’s expansion.

This is a hands‑on role for a lawyer who enjoys both deal work and creating scalable structures. You will identify risks early, limit contractual exposure and keep the business compliant as it grows.

The role:

• Advise on M&A deals, joint ventures and strategic investments, from structuring and due diligence through to closing.
• Handle corporate matters and governance, including formations, reorganisations and board resolutions.
• Draft, review and negotiate complex German and English contracts, especially transaction documents, articles of association and shareholders’ agreements.
• Advise Finance, Business Development, Sales and Procurement on commercial legal questions.
• Standardise governance frameworks, templates and legal workflows.

What you’ll need:

• Qualification as a lawyer, or a business law degree (LL.B./LL.M.) or equivalent.
• At least two years’ corporate/M&A experience in private practice or in-house at an international business.
• Solid knowledge of German company and contract law.
• Experience with transactions, funding rounds or complex corporate projects would be a plus.
• Commercial awareness and an entrepreneurial mindset.
• A pragmatic, structured and independent way of working, with strong communication skills.
• Business fluency in German and English.
